    <bpmn:extensionElements>
      <lex:model id="ny-business" jurisdiction="ny" jurisdictionName="New York" reviewStatus="draft" method="gold-manual">
        <lex:gap>Only the LLC filing path is modelled step by step. New York issues no certificate of organization: the Department of State only checks that the form is completed and the fee paid, then files and indexes the articles (§ 209), and the LLC is formed on filing or at a later date stated in the articles, up to 60 days (§ 203(d)). The step file_articles stands in for the certificate-and-record steps other states have.</lex:gap>
        <lex:gap>The articles' contents (§ 203(e)) are reduced to the three required items the review can see (name, county, secretary of state as agent for process), the signature (§ 203(a)(ii), § 209) and the fee. Optional items (registered agent, dissolution date, member liability, internal provisions) are not checked. The name rules of LLC Law § 204 and the signing rules of § 207 are not printed here, so who may sign and how is not checked.</lex:gap>
        <lex:gap>Publication (§ 206(a)) is New York's distinctive extra step: the county clerk designates the newspapers, the LLC publishes for six weeks and files proof. Both the six publications and the proof filing must fall within 120 days of formation (the effectiveness of the articles, § 203(d)); the model attaches that limit to both steps, though each timer can only start when its step is reached, not at formation. Missing it suspends the LLC's authority to do business (modelled as right-lapses, ending at authority_suspended). The LLC itself is formed at filing (§ 203(d)); the outcome llc_active marks that publication is proved, so its authority is not subject to suspension. The suspension is lifted whenever proof is filed later, and it does not void contracts or make members liable. Neither is modelled as a path. The publication itself costs whatever the newspapers charge; no statute sets that amount.</lex:gap>
        <lex:gap>Whether the county clerk designates newspapers for each LLC or keeps a standing designation is not said; it is modelled as one step after filing. In counties where no newspaper is designated, newspapers of a neighbouring county may be used (§ 206(a)). Not modelled.</lex:gap>
        <lex:gap>The assumed-name filing (Gen. Bus. Law § 130(1)(b)) is placed after publication only because the flow needs one order (a conditional sibling of publication would make the two exclusive); the statute ties it to doing business under another name, not to publication. An LLC trading only under its real name, or with a trade name used together with its real name (§ 130(1-a)(c)), files nothing. The certificate's contents, the 30-day amendment duty (§ 130(3)) and the display duty (§ 130(4)) are cited, not checked step by step. The extra county fees the secretary of state collects for corporations (§ 130(5)(b)(2)) do not apply to LLCs.</lex:gap>
        <lex:gap>Sole proprietors and general partnerships file with the county clerk, not the Department of State (§ 130(1)(a)). The county clerk's fee is in CPLR § 8021(b)(2), which is not printed here. Every general partnership must file a county certificate naming its partners, even under the partners' own names (§ 130(1)(ii)), unless an exemption in § 130(7) applies.</lex:gap>
        <lex:gap>There is no state business licence in this model. New York has no general state or local business-licence statute like Virginia's BPOL; licences are profession- and activity-specific, and New York City and other localities add their own permits. Sales tax registration and other tax registrations sit in the Tax Law and are not modelled.</lex:gap>
        <lex:gap>A registered limited liability partnership is open only to partnerships of licensed professionals (§ 121-1500(a)(I)). Unlike Virginia, an ordinary general partnership cannot become an LLP. It also publishes within 120 days (§ 121-1500(a)(II)).</lex:gap>
        <lex:gap>Limited partners' liability shield and its loss through control (Partnership Law § 121-303) are not printed here. The limited partnership row relies on § 121-201 only.</lex:gap>
        <lex:gap>Professionals may face limits on using an ordinary business corporation or LLC instead of a professional entity under the Education Law; not checked here. Design professional service corporations (§ 1503(b-1) to (b-4)) and public accountancy firms (§ 1503(h)) have extra ownership rules not modelled.</lex:gap>
        <lex:gap>A not-for-profit corporation whose purposes need a state official's or agency's consent must obtain it first (N-PCL § 402(a)(2-b), § 404). Not-for-profit status is a state corporate form, not federal tax exemption. Neither is modelled.</lex:gap>
        <lex:gap>Ongoing filings after formation are not modelled: the LLC's statement of address under LLC Law § 301 ($9, § 1101(c)) and a corporation's statement under BCL § 408 ($9, § 104-A(r)); neither section is printed here.</lex:gap>

===== What the text leaves open =====

  * Only the LLC filing path is modelled step by step. New York issues no certificate of organization: the Department of State only checks that the form is completed and the fee paid, then files and indexes the articles (§ 209), and the LLC is formed on filing or at a later date stated in the articles, up to 60 days (§ 203(d)). The step file_articles stands in for the certificate-and-record steps other states have.
  * The articles' contents (§ 203(e)) are reduced to the three required items the review can see (name, county, secretary of state as agent for process), the signature (§ 203(a)(ii), § 209) and the fee. Optional items (registered agent, dissolution date, member liability, internal provisions) are not checked. The name rules of LLC Law § 204 and the signing rules of § 207 are not printed here, so who may sign and how is not checked.
  * Publication (§ 206(a)) is New York's distinctive extra step: the county clerk designates the newspapers, the LLC publishes for six weeks and files proof. The publication itself costs whatever the newspapers charge; no statute sets that amount.
  * Whether the county clerk designates newspapers for each LLC or keeps a standing designation is not said; it is modelled as one step after filing. In counties where no newspaper is designated, newspapers of a neighbouring county may be used (§ 206(a)). Not modelled.
  * The assumed-name filing (Gen. Bus. Law § 130(1)(b)) is placed after publication only because the flow needs one order (a conditional sibling of publication would make the two exclusive); the statute ties it to doing business under another name, not to publication. An LLC trading only under its real name, or with a trade name used together with its real name (§ 130(1-a)%%(c)%%), files nothing. The certificate's contents, the 30-day amendment duty (§ 130(3)) and the display duty (§ 130(4)) are cited, not checked step by step. The extra county fees the secretary of state collects for corporations (§ 130(5)(b)(2)) do not apply to LLCs.
  * Sole proprietors and general partnerships file with the county clerk, not the Department of State (§ 130(1)(a)). The county clerk's fee is in CPLR § 8021(b)(2), which is not printed here. Every general partnership must file a county certificate naming its partners, even under the partners' own names (§ 130(1)(ii)), unless an exemption in § 130(7) applies.
  * There is no state business licence in this model. New York has no general state or local business-licence statute like Virginia's BPOL; licences are profession- and activity-specific, and New York City and other localities add their own permits. Sales tax registration and other tax registrations sit in the Tax Law and are not modelled.
  * A registered limited liability partnership is open only to partnerships of licensed professionals (§ 121-1500(a)(I)). Unlike Virginia, an ordinary general partnership cannot become an LLP. It also publishes within 120 days (§ 121-1500(a)(II)).
  * Limited partners' liability shield and its loss through control (Partnership Law § 121-303) are not printed here. The limited partnership row relies on § 121-201 only.
  * Professionals may face limits on using an ordinary business corporation or LLC instead of a professional entity under the Education Law; not checked here. Design professional service corporations (§ 1503(b-1) to (b-4)) and public accountancy firms (§ 1503(h)) have extra ownership rules not modelled.
  * A not-for-profit corporation whose purposes need a state official's or agency's consent must obtain it first (N-PCL § 402(a)(2-b), § 404). Not-for-profit status is a state corporate form, not federal tax exemption. Neither is modelled.
  * Ongoing filings after formation are not modelled: the LLC's statement of address under LLC Law § 301 ($9, § 1101%%(c)%%) and a corporation's statement under BCL § 408 ($9, § 104-A%%(r)%%); neither section is printed here.
