    <bpmn:extensionElements>
      <lex:model id="wa-business" jurisdiction="wa" jurisdictionName="Washington" reviewStatus="draft" method="gold-manual">
        <lex:gap>Only the LLC filing path is modelled step by step (certificate of formation under RCW 25.15.071, filed under Article 2 of chapter 23.95 RCW). The other filed structures follow the same Article 2 filing rules (RCW 23.95.200, 23.95.225): a corporation or nonprofit corporation delivers articles of incorporation (RCW 23B.02.010, RCW 24.03A.090), a limited partnership is formed when the secretary of state files its certificate (RCW 25.10.201(3)), and the secretary of state must register an LLP that submits a completed application with the fee (RCW 25.05.500(4)). Their content checks are not modelled.</lex:gap>
        <lex:gap>No filing fee amount appears in the RCW: the secretary of state sets entity filing fees by rule (RCW 23.95.260, chapter 34.05 RCW), capped at the January 1, 2016 amounts, and the department of revenue sets trade name fees by rule, which may not exceed the actual cost of administering chapter 19.80 RCW (RCW 19.80.045). The amounts are in the Washington Administrative Code, which is not in the corpus.</lex:gap>
        <lex:gap>Washington issues no separate certificate of organization: the LLC is formed when the secretary of state files the certificate of formation (RCW 25.15.071(2)(a)), and the secretary of state then delivers a copy of the filed record with an acknowledgment (RCW 23.95.225(2)). The filed copy is modelled as that delivery; a certificate of existence is available on request (RCW 23.95.235).</lex:gap>
        <lex:gap>The refusal deadline (fifteen business days after receipt, RCW 23.95.225(3)) runs from the date of receipt that the secretary of state must document (RCW 23.95.225(2)); the text gives no consequence for missing it, so it is marked 'unstated'. The remedy for a refusal is a petition to the superior court, with the filing and the secretary of state's explanation of the refusal attached (RCW 23.95.225(4)); the court's decision is not modelled.</lex:gap>
        <lex:gap>The filing checks in filing_complies cover the certificate's required contents (RCW 25.15.071(1)(a)-(c), (f)) and the general execution, signer and fee rules (RCW 23.95.200(1)(d)-(e), (2)). Optional contents ((1)(d) dissolution date, (1)(e) other matters), the English-language and delivery-medium rules (RCW 23.95.200(1)(b)-(c)), and the name requirements of Article 3 of chapter 23.95 RCW (RCW 23.95.305) are not checked separately.</lex:gap>
        <lex:gap>After filing, a company doing business under a trade name must register it with the department of revenue (RCW 19.80.010), and a company requiring licenses incorporated into the system must apply for a business license (RCW 19.02.070(1)). Nothing in these sections orders the two: the model puts trade name registration first only as a modelling convention. The two conditions are not mutually exclusive, and the model's exclusive gateways take both paths only because uses_trade_name is evaluated first, in document order; this model has no inclusive split. In practice the department takes trade name registrations through the same business license application, which these sections do not say. Whether an LLC doing business only under its filed name 'uses a trade name' is open on the literal text: RCW 19.80.005(5) lists the filed names of domestic corporations and limited partnerships as true and real names but has no entry for limited liability company names, while RCW 19.80.010(3) sets the registration contents for an LLC.</lex:gap>
        <lex:gap>The business license application under chapter 19.02 RCW applies to persons 'requiring licenses that have been incorporated into the system'; which licenses those are, and when a city or state agency license or endorsement is needed, is outside these sections. The model routes the application through the regulatory agency when any requested license needs that agency's prelicensing review (RCW 19.02.070(3)-(4)); otherwise the business licensing service issues the license directly. An application can mix both kinds; the business license is then endorsed for the approved licenses, and the department advises the applicant of the status of the others (RCW 19.02.070(5)). The agency must advise the department 'within a reasonable time', which sets no fixed period, so no timer is modelled. The applicant's route to contest conditions or a denial (RCW 19.02.070(5)) is not modelled.</lex:gap>
        <lex:gap>Local business licenses and taxes (city business license endorsements, business and occupation taxes) are not modelled; the local layer attaches at the business license step.</lex:gap>
        <lex:gap>Professionals are not required to use a professional entity in every case; RCW 18.100.050 only authorizes one. Members of a professional LLC lose the shield to the extent required professional liability insurance or bond would have covered a claim (RCW 25.15.046(3)); professional discipline still applies (RCW 18.100.050(5)(b), RCW 25.15.046(7)).</lex:gap>
        <lex:gap>Later amendments of the certificate of formation (RCW 25.15.076) and annual reports (RCW 23.95.255) are outside these sections and not modelled.</lex:gap>
        <lex:gap>Nonprofit corporation status is a state corporate form, not tax exemption; federal 501(c) status and charitable solicitation registration are outside these sections.</lex:gap>
        <lex:gap>A delayed effective date (RCW 23.95.210(2): unless the organic law prohibits it, no more than ninety days after the date of filing) is not modelled.</lex:gap>

===== What the text leaves open =====

  * Only the LLC filing path is modelled step by step (certificate of formation under RCW 25.15.071, filed under Article 2 of chapter 23.95 RCW). Their content checks are not modelled.
  * No filing fee amount appears in the RCW: the secretary of state sets entity filing fees by rule (RCW 23.95.260, chapter 34.05 RCW), capped at the January 1, 2016 amounts, and the department of revenue sets trade name fees by rule, which may not exceed the actual cost of administering chapter 19.80 RCW (RCW 19.80.045). The amounts are in the Washington Administrative Code, which is not in the corpus.
  * Washington issues no separate certificate of organization: the LLC is formed when the secretary of state files the certificate of formation (RCW 25.15.071(2)(a)), and the secretary of state then delivers a copy of the filed record with an acknowledgment (RCW 23.95.225(2)). The filed copy is modelled as that delivery; a certificate of existence is available on request (RCW 23.95.235).
  * The refusal deadline (fifteen business days after receipt, RCW 23.95.225(3)) runs from the date of receipt that the secretary of state must document (RCW 23.95.225(2)); the text gives no consequence for missing it, so it is marked 'unstated'. The remedy for a refusal is a petition to the superior court, with the filing and the secretary of state's explanation of the refusal attached (RCW 23.95.225(4)); the court's decision is not modelled.
  * The filing checks in filing_complies cover the certificate's required contents (RCW 25.15.071(1)(a)-%%(c)%%, (f)) and the general execution, signer and fee rules (RCW 23.95.200(1)(d)-(e), (2)). Optional contents ((1)(d) dissolution date, (1)(e) other matters), the English-language and delivery-medium rules (RCW 23.95.200(1)(b)-%%(c)%%), and the name requirements of Article 3 of chapter 23.95 RCW (RCW 23.95.305) are not checked separately.
  * After filing, a company doing business under a trade name must register it with the department of revenue (RCW 19.80.010), and a company requiring licenses incorporated into the system must apply for a business license (RCW 19.02.070(1)). Whether an LLC doing business only under its filed name 'uses a trade name' is open on the literal text: RCW 19.80.005(5) lists the filed names of domestic corporations and limited partnerships as true and real names but has no entry for limited liability company names, while RCW 19.80.010(3) sets the registration contents for an LLC.
  * The business license application under chapter 19.02 RCW applies to persons 'requiring licenses that have been incorporated into the system'; which licenses those are, and when a city or state agency license or endorsement is needed, is outside these sections. The applicant's route to contest conditions or a denial (RCW 19.02.070(5)) is not modelled.
  * Local business licenses and taxes (city business license endorsements, business and occupation taxes) are not modelled; the local layer attaches at the business license step.
  * Professionals are not required to use a professional entity in every case; RCW 18.100.050 only authorizes one. Members of a professional LLC lose the shield to the extent required professional liability insurance or bond would have covered a claim (RCW 25.15.046(3)); professional discipline still applies (RCW 18.100.050(5)(b), RCW 25.15.046(7)).
  * Later amendments of the certificate of formation (RCW 25.15.076) and annual reports (RCW 23.95.255) are outside these sections and not modelled.
  * Nonprofit corporation status is a state corporate form, not tax exemption; federal 501%%(c)%% status and charitable solicitation registration are outside these sections.
  * A delayed effective date (RCW 23.95.210(2): unless the organic law prohibits it, no more than ninety days after the date of filing) is not modelled.
